Terms of Service

These Terms of Service ("Terms") govern your use of applications developed by Product with Love ("we," "us," or "our") available on the Atlassian Marketplace. By installing or using any of our apps, you agree to be bound by these Terms.

1. Acceptance of Terms

By installing, accessing, or using any Product with Love app, you represent that:

  • You are authorized to bind your organization to these Terms
  • You have read and understood our Privacy Policy
  • You accept all terms and conditions stated herein

If you do not agree to these Terms, do not install or use our apps.

2. App Licensing and Subscription

2.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use our apps in accordance with:

  • The specific app's functionality and documentation
  • Your purchased subscription tier (Free, Standard, Premium, or Enterprise)
  • The number of licensed users in your Atlassian instance

2.2 Free Tier

Some apps may offer a free tier with limited features or usage. Free tier access may be modified or discontinued at our discretion with 30 days' notice.

2.3 Paid Subscriptions

  • Subscriptions are billed through the Atlassian Marketplace
  • Pricing is based on your Atlassian instance's user count
  • Subscription fees are non-refundable except as required by law or stated in Atlassian's refund policy
  • Subscriptions auto-renew unless canceled before the renewal date

2.4 Trial Periods

Apps may offer a free trial period (typically 30 days). Trials automatically convert to paid subscriptions unless canceled. No charges occur during the trial period.

3. User Responsibilities

3.1 Proper Use

You agree to:

  • Use our apps only for lawful purposes and in compliance with applicable laws
  • Ensure all users have appropriate permissions within your Atlassian instance
  • Review and understand app permissions before installation
  • Configure apps responsibly, especially automated workflows that modify data
  • Test configurations in non-production environments when possible
  • Maintain adequate backups of your Atlassian data

3.2 Prohibited Uses

You may not:

  • Reverse engineer, decompile, or disassemble any app
  • Circumvent usage limits or licensing restrictions
  • Use apps to violate any third-party rights
  • Share access credentials with unauthorized users
  • Use apps to transmit malware or harmful code
  • Abuse support channels or submit fraudulent support requests

4. Automated Actions and Safety Guardrails

4.1 User Responsibility for Automation

Our apps may perform automated actions on your Jira, Confluence, or JSM data based on rules you configure. You are solely responsible for:

  • Reviewing and testing automation rules before enabling them in production
  • Understanding the scope and impact of automated actions
  • Monitoring execution logs and results
  • Correcting any unintended consequences

4.2 Built-in Safety Features

Our apps include safety features such as:

  • Dry-run modes for testing rules without making changes
  • Execution history and audit logs
  • Rate limiting to prevent runaway automation
  • Admin controls and permission requirements

4.3 No Guarantee of Reversibility

While we design apps with safety in mind, automated actions may not be reversible. We strongly recommend maintaining regular backups and testing in non-production environments.

5. Support and Maintenance

5.1 Support Channels

We provide support via:

  • Atlassian Marketplace support portal
  • In-app documentation and help resources

5.2 Response Times

  • Standard Support: 1 business day response (Monday-Friday, 9am-5pm CT)
  • Premium/Enterprise: Same business day response for critical issues

5.3 Maintenance and Updates

We may perform maintenance, updates, and bug fixes at any time. We will provide advance notice for planned maintenance that may cause disruption. Updates are automatically deployed via Atlassian Forge.

6. Data and Privacy

Our handling of your data is governed by our Privacy Policy. Key points:

  • All data storage occurs within Atlassian Forge (no external servers)
  • We do not sell your data
  • Data is deleted upon app uninstallation
  • Security inherits from Atlassian's enterprise infrastructure

7. Intellectual Property

7.1 Our IP

All intellectual property rights in our apps, including code, design, documentation, and trademarks, remain our exclusive property. These Terms do not grant you any rights beyond the limited license described above.

7.2 Your Data

You retain all ownership rights to your data. We claim no ownership over content you create, store, or manage using our apps.

7.3 Feedback

If you provide suggestions, feedback, or feature requests, we may use them without obligation or compensation to you.

8. Warranties and Disclaimers

8.1 Limited Warranty

We warrant that our apps will substantially conform to their documented functionality. If an app fails to meet this warranty, we will use commercially reasonable efforts to correct the issue.

8.2 Disclaimer

EXCEPT AS EXPRESSLY STATED ABOVE, OUR APPS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • Apps will be error-free or uninterrupted
  • All defects will be corrected
  • Apps will meet your specific requirements
  • Data loss will never occur

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

9.1 Damages Cap

IN NO EVENT SHALL OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR APPS EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. FOR FREE APPS, LIABILITY IS LIMITED TO $100.

9.2 Excluded Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or data corruption
  • Business interruption
  • Cost of substitute services
  • Reputational harm

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

9.3 Exceptions

These limitations do not apply to:

  • Our indemnification obligations (if any)
  • Violations of intellectual property rights
  • Claims that cannot be limited by law

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable attorney fees) arising from:

  • Your violation of these Terms
  • Your misuse of our apps
  • Your violation of any third-party rights
  • Unauthorized actions by your users

11. Termination

11.1 By You

You may terminate your use of any app at any time by uninstalling it from your Atlassian instance and canceling your subscription through the Marketplace.

11.2 By Us

We may suspend or terminate your access to our apps if:

  • You violate these Terms
  • Your subscription payment fails
  • We are required to do so by law
  • We discontinue an app (with 60 days' notice)

11.3 Effect of Termination

Upon termination:

  • Your license to use the app ends immediately
  • We will delete app-specific data within 30 days
  • No refunds will be issued for partial subscription periods (except as required by law)

12. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via:

  • Email to registered administrators
  • In-app notification
  • Marketplace listing update

Continued use of our apps after changes constitute acceptance of the modified Terms. If you do not agree to changes, you must stop using the app and cancel your subscription.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any legal claim, you agree to contact us at contact@productwithlove.com to seek an informal resolution. We commit to responding within 5 business days and working in good faith to resolve disputes.

13.2 Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

13.3 Jurisdiction

Any legal action must be brought in state or federal courts located in Harris County, Texas. You consent to the exclusive jurisdiction and venue of these courts.

13.4 No Class Actions

You agree to resolve disputes on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative proceedings.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any app-specific terms, constitute the entire agreement between you and us regarding our apps.

14.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

14.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations at any time.

14.5 Force Majeure

We are not liable for delays or failures in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, or failures of third-party services (including Atlassian infrastructure).
